License Agreement

1. Grant of License
Subject to the terms of this Agreement, Everage grants you a limited, non-exclusive, non-transferable license to access and use the Everage platform ("Software") for your internal business purposes.
2. Restrictions
You may not:
- Copy, modify, or distribute the Software
- Reverse engineer, decompile, or disassemble the Software
- Sublicense, rent, or lease the Software to third parties
- Remove or alter any proprietary notices on the Software
3. Intellectual Property
The Software and all related intellectual property rights remain the exclusive property of Everage. This Agreement does not grant you any ownership rights to the Software.
4. Updates and Modifications
Everage may update the Software from time to time. Updates may be applied automatically. Continued use after updates constitutes acceptance of any modified functionality.
5. Term and Termination
This license is effective until terminated. Everage may terminate this license if you breach any terms of this Agreement. Upon termination, you must cease all use of the Software.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. EVERAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
IN NO EVENT SHALL EVERAGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
